Ms. Warnica is an accomplished Board member and C-suite executive with more than 20 years in the boardroom as a trusted advisor. She has a deep understanding of the energy industry and broad leadership experience in strategy, finance, crisis management, restructuring, enterprise risk, regulatory matters and human capital management.

Ms. Warnica currently serves on the Board of Directors of NuScale Power Corporation (NYSE: SMR), an advanced nuclear technology company that has developed a small modular reactor in scalable sizes to generate steam that can be used for electrical generation, district heating, desalination, hydrogen production and other process heat applications. She serves on the Audit and Nominating and Corporate Governance Committees.

Ms. Warnica is the Executive Vice President, General Counsel and Secretary of Marathon Oil Corporation (NYSE: MRO) and is responsible for the compliance, legal, information governance, corporate communications and government relations groups. Prior to joining Marathon Oil in 2021, she was Executive Vice President, General Counsel, Chief Compliance Officer and Secretary of Alta Mesa Resources, Inc. (formerly NASDAQ: AMR), a $1 billion SPAC, responsible for the ethics and compliance, human resources, contract administration, facilities, corporate communications and legal functions of Alta Mesa. Ms. Warnica is a key strategic advisor to Boards of Directors and has significant expertise in corporate governance, SEC reporting, shareholder relations, executive compensation, liability management, disclosure issues, mergers, acquisitions and divestitures and capital market transactions.

Prior to joining Alta Mesa in 2018, Ms. Warnica held leadership positions with Marathon Oil and Freeport-McMoRan Oil & Gas Company, formerly Plains Exploration & Production Company (formerly NYSE:PXP). While initially at Marathon Oil, she led the Corporate & Finance and Litigation & Labor Employment legal groups. During her tenure at Plains, Ms. Warnica was a key member of the leadership team and was responsible for structuring and negotiating the most significant transactions for the Company, including the $16.3 billion merger of the Company with Freeport-McMoRan, creating a global natural resources enterprise. She started her career at Andrews Kurth LLP (now known as Hunton Andrews Kurth LLP) where she practiced corporate and securities law, representing a variety of clients in mergers, acquisitions and numerous transactional, securities and corporate governance matters.

Ms. Warnica also serves on the Board of Directors of the Greater Houston Partnership, a private, nonprofit corporation that strives to make Houston one of the best places to live, work and build a business. Its Board is comprised of business leaders interested in advancing the economic vitality of Houston and represents a cross-section of industries throughout the Houston area.

Ms. Warnica received a Bachelor of Science from Texas A&M and earned her J.D. from the University Texas School of Law where she graduated with high honors, was elected to the Order of the Coif and was a member of Texas Law Review.
