Lisa J. Brown is an accomplished global C-suite executive and corporate Board member with diverse experience in a variety of industries including, automotive, transportation technology, consumer healthcare and pharma, medical devices, agrisciences and chemicals, industrial minerals, mining, and industrial manufacturing.

Since August 2020, Ms. Brown serves on the Board of PI Industries Limited (NSE (India): PIINDEQ) an India Fortune 500 company operating in India, Japan and Europe, providing molecular R&D and custom manufacturing for agrichemical and pharmaceutical industries. At PI Industries, Ms. Brown Chairs the Nomination & Remuneration Committee and serves on the Audit Committee of the Board. From May 2019 until October 2020, Ms. Brown held a corporate Board position at SmartDrive Systems Inc., representing a minority strategic investor in a venture capital-backed transportation technology company based in San Diego, California. During her tenure on the SmartDrive Board, Ms. Brown provided industry expertise to the majority VC represented Board, supporting the exit and sale of the company to an industrial buyer, delivering significant shareholder return. Ms. Brown also previously sat on the Board of WABCO India Limited (NSE(India): WABCOINDIA), a leading Tier 1 automotive supplier, from January 2015 until September 2020, where she held the lead non-executive, non-independent director role. Ms. Brown sat on the Remuneration & Nomination Committee, Stakeholder Relationship Committee and the Corporate Social Responsibility Committee of WABCO India, fostering key relationships with independent directors.

In her executive career, Ms. Brown, most recently held the position of Chief Legal & Sustainability Officer for a Belgian-headquartered corporation with revenues of $4 billion (2019), SCR-Sibelco NV. Sibelco is a global leader in the mining and transformation of industrial minerals using technology and know-how to deliver sustainable solutions across diverse end-markets including coatings, filtration and polymers. In addition to leading a team of more than 50 employees accountable for the legal, sustainability and enterprise-wide risk management strategies of the company, Ms. Brown was a member of the Executive Committee focussing on defining and deploying a new corporate strategy and leading a business transformation.

Prior to that, Ms. Brown was the Chief Legal Officer and Corporate Secretary of WABCO Holdings Inc. (NYSE: WBC), a global leader in the development and manufacturing of commercial vehicle safety and control systems and leading the innovation for autonomous driving. In this role, Ms. Brown led the structuring, negotiation and closing of the strategically transformative US$7billion merger of the corporation with ZF Friedrichshafen AG, working with the Board and regulators to create the world’s largest Tier 1 commercial vehicle supplier. During her time at WABCO, Ms. Brown was responsible for corporate business development activities including M&A, together with the global legal, intellectual property and compliance affairs of the corporation.

In her executive roles, Ms. Brown has gained broad international experience leading diverse cross-functional teams. She is skilled in delivering multiple M&A transactions, divestments, joint ventures and other strategic investments in geographies around the world including in the US, Europe, China, Japan and Brazil, driving growth and expansion and securing accretive value for stockholders. Ms. Brown has accumulated significant Boardroom exposure, as, in addition to her Board seats, she was responsible for developing WABCO’s Board programme and corporate governance structure, and advising the Compensation, Nominating Governance and Audit committees on topics for SEC reporting, compliance and risk management oversight. She is also recognised as a strong business leader, having undertaken primary roles in business reorganisations and transformations, positioning the organisations for future organic growth in dynamic and disruptive industrial environments.
